PETIT Jean Pierre – Research Director at CNRS, retired, residing at Villa Jean-Christophe, 206 Chemin de la Montagnère, 84120 Pertuis, French nationality

D’AGOSTINI Gilles – Engineer residing at 110 Route de Castellar, 06500 Menton, French nationality

Hereby form an association in accordance with the law of July 1, 1901, and establish the following articles of association:

Article 1: Name

An association governed by the law of July 1, 1901, and the decree of August 16, 1901, is hereby established among the members adhering to these articles, under the name: “KNOWLEDGE WITHOUT BORDERS”.

Article 2: Purpose

The purpose of this association is to promote the dissemination of knowledge, particularly scientific and technical knowledge, in all languages, for all audiences, ranging from illiterate individuals to university students, using all possible techniques, including all forms of publishing, as well as multimedia distribution.

The Internet channel will be used as much as possible, due to its wide reach and low cost.

The association wishes to clarify that, in its view and from a cultural perspective, its approach has a humanitarian character.

Furthermore, it does not refer to any political system, ideology, church, denomination, belief, philosophy, or cult.

To achieve its objectives, the association will use all legal means available and those it deems necessary.

Communication with its members will be conducted exclusively via email or through the association’s website.

This purpose will include, but is not limited to:

  1. Creating a website to promote the association and its objectives. This website will serve as the permanent link between the association and its members, as well as non-members.

  2. Using scientific comics as one of the preferred communication tools, and for this purpose:

  • Making albums available for free download on the website.

  • Having them translated into as many languages as possible.

  • Making them more attractive (colorization).

  1. Connecting individuals who may participate in actions aligned with the association’s objectives.

  2. Working jointly with organizations likely to be in contact with youth, to raise awareness of the association’s objectives.

  3. Promoting projects aimed at minimizing the language barrier and participating in them as much as possible.

Article 3: Registered Office

The registered office is located at Jean-Pierre Petit’s home, Villa Jean-Christophe, 206 Chemin de la Montagnère, 84120 Pertuis. It may be transferred by simple decision of the board of directors.

Article 4: Composition

The association comprises:

  • Founding members

  • Honorary members

  • Sympathizer members

  • Adherent members

  • Friend members

  • Benefactor members

The founding members are Jean-Pierre Petit and Gilles D’Agostini. They constitute both the board of directors and the executive committee. In accordance with current law, they will receive no remuneration.

Honorary members do not pay dues but provide their moral support to the association. Their names, titles, and qualifications will appear on the association’s website. They may at any time notify their withdrawal from the group of honorary members by sending a postal letter to the association’s registered office. This resignation will be immediately reflected on the association’s website.

In order to open the association to the largest possible number of people, including internationally, it was decided to create a status of sympathizer members. For these members, the amount of the dues, less than €10, is left to their discretion. It may be zero if their financial means do not allow them to cover such costs.

Adherent members also choose the amount of their membership contribution, which must be greater than or equal to €10 and less than €150 (figures set for the year 2006). They must have a valid email address.

Friend members also choose the amount of their membership contribution, which must be greater than or equal to €150 and less than €1,200 (figures set for the year 2006). For information, the flat rate (2006) for translating a comic book of 45 to 80 pages into a foreign language is €150. They must have a valid email address.

Benefactor members pay the dues specified in the internal regulations, set at €1,200 for the year 2006. For information, this amount may correspond to the flat rate for translating a larger work, a course, the colorization of an album, or the creation of a brochure disseminating scientific or technical knowledge, into a foreign language.

They must have a valid email address.

The amount of dues is established annually by the executive committee during a general meeting.

Article 5: Admission

To join the association, one must send a membership form to the association’s registered office, paying the dues amount corresponding to the category chosen by the member.

The information contained in the form will be entered into the association’s database (but will remain confidential).

The association shall not bear any fees for collecting dues, which must in this case be borne by the member.

The simplest method is to send a letter to the association with a written application for membership for the current year, accompanied by a check payable in France, made out to “Knowledge Without Borders,” for an amount corresponding to the chosen category.

Subsequently, other methods may be defined and implemented through the association’s website.

The deadline for payment of dues is December 31 of the current year, regardless of the date of joining.

The executive committee decides on admission requests during its meetings. It reserves the right to refuse admission, in which case an explanation will be sent to the applicant and their payment will be rejected.

To be part of the association, one must:

  • Be up to date with dues

  • Be approved by the executive committee, which decides on admission requests

  • Accept without reservation the association’s articles of association, particularly the mode of communication via electronic messages or through the association’s website

The association will maintain an up-to-date register of members’ contact details. This register may under no circumstances be transmitted to any other organization, whatever it may be.

Article 6: Termination of Membership

Membership is lost by:

a) Resignation.

b) Death.

c) Request by the member.

d) Expulsion pronounced by the board of directors for serious cause (non-payment of dues, actions contrary to the association’s objectives, etc.).

In all cases, the dues for the current year, which have already been collected, will remain acquired by the association.

Article 7: Resources

The association’s resources include:

1° The amount of dues.

2° Sums received in exchange for services provided by the association.

3° All other resources authorized by legislative and regulatory texts, including subsidies from the State, its ministries, departments, and municipalities, or subsidies from French or foreign institutional bodies.

Any application for subsidy will be mentioned on the association’s website in the interest of clarity and transparency, in accordance with the association’s ethics.

Regardless of the subsidy, whether of French or foreign origin, the Board of Directors reserves the right to accept or refuse it, should it appear that such an application could lead to a deviation contrary to its objectives (political, religious, sectarian, etc.).

Article 8: Board of Directors

The Board of Directors is composed of:

  • Jean-Pierre Petit, serving as President and Secretary.

  • Gilles d’Agostini, serving as Treasurer and Deputy Secretary.

In the event of a vacancy of one of the members, their role is assumed by the remaining member until their return or the dissolution of the association.

In the event of the death or resignation of one of the members, the other member may dissolve the association or continue its operations, in which case a new board of directors must be constituted, which will then appoint a new executive committee.

Article 9: Executive Committee

The Executive Committee is composed of:

  • Jean-Pierre Petit, serving as President and Secretary.

  • Gilles d’Agostini, serving as Treasurer and Deputy Secretary.

In the event of a vacancy of one of the members, their role is assumed by the remaining member until their return, replacement, or the dissolution of the association.

In the event of the death or resignation of one of the members, the board of directors will ensure their replacement and thus complete the executive committee.

The primary role of the executive committee will be to:

  • Produce, each December, a summary of the actions undertaken during the past year, actions that members and non-members will have been able to follow day by day on the association’s website.

  • Prepare a summary of receipts and expenditures, item by item, the details of which will have been available in real time, day by day, on the association’s website.

  • Describe the projects and actions undertaken or to be undertaken for the coming year.

  • Ensure the financial management of the association, as well as its transparency (website) and traceability. This management will be permanently accessible online, on the website, for both members and non-members. It will be carried out by the president and treasurer in close and permanent collaboration. Both will have signing authority on the association’s account. The treasurer will be responsible for archiving accounting data.

Article 10: Board of Directors Meeting

The board of directors meets at least once a year, convened by one of its members, at least one month before the date.

Decisions are taken by a majority of votes; in the event of a tie, the president’s vote is decisive.

Article 11: Internal Regulations

Internal regulations may be established by the board of directors.

These regulations, if any, are intended to set various points not provided for in the articles of association, particularly those relating to the internal administration of the association, the amount of annual dues, etc.

They will be made available to members through the association’s website.

Article 12: Dissolution of the Association

In the event of denunciation by one of the founding members of a malfunction or deviation from the goals and operating methods that the association has set for itself, the association will be automatically dissolved, its bank assets being then transferred to a charitable organization such as “Les Restaurants du Cœur,” “Médecins Sans Frontières,” or “The Red Cross,” the choice being made, if possible, by the two members or, failing that, by the President.

The denunciation must be made by registered letter with acknowledgment of receipt.

We will proceed with the census of members, considering that those who have sent us donations are automatically part of it. I will try to print signed and numbered membership cards, which will be sent to them. We can already register new memberships. All this involves a lot of secretarial work, considering that I am waiting for only one thing: to finally free up time to devote myself to creating new albums, which I have already started. Some pages of an album for 12-year-olds, intended to be colorized and titled “Electricity for Dummies and the Slow Learners.” ---
